Terms of Service

These Terms of Service (“Terms”) govern your access to and use of app.happynol.com (“the App”), operated by HappyNoL Private Limited (“HappyNoL”, “we”, “us”). By creating an account, you agree to these Terms. If you do not agree, do not use the App.

1. Service Description

The App provides AI-powered seller tools designed for Indian MSME manufacturers and online sellers. These tools include — but are not limited to — AI listing generation, photo enhancement, order management, GST compliance assistance, pricing intelligence, and marketplace sync for Amazon India, Flipkart, and Meesho.

We reserve the right to add, modify, or discontinue any feature at any time. We will give you reasonable notice of major changes.

2. Eligibility & Account

  • You must be at least 18 years old and legally able to enter into contracts under Indian law.
  • You must provide accurate business information, including your correct GSTIN where applicable.
  • You are responsible for maintaining the security of your account credentials.
  • Each account is for one business entity. You may not share access with users outside your organisation without written permission from us.

3. User Obligations

By using the App, you agree to:

  • Provide accurate product information. You are solely responsible for the accuracy of your product listings.
  • Comply with the policies of all marketplaces you list on (Amazon, Flipkart, Meesho, etc.).
  • Not use the App to list counterfeit, prohibited, or restricted products.
  • Not attempt to reverse-engineer, scrape, or abuse the App or its APIs.
  • Not use the App for any unlawful purpose under Indian law.

4. AI-Generated Content

Our AI tools generate product titles, descriptions, bullet points, keywords, and other listing content to assist you. This content is AI-assisted and provided as a starting point — it is not a substitute for your own review. You are solely responsible for reviewing and verifying all AI-generated content before publishing it on any marketplace.

HappyNoL does not guarantee that AI-generated content will comply with specific marketplace guidelines or result in any particular sales outcome.

5. Subscription & Billing

  • The App offers free and paid subscription tiers. Paid plans are billed monthly or yearly via Razorpay.
  • All prices are in Indian Rupees (INR) and inclusive of applicable taxes unless stated otherwise.
  • You may cancel your subscription at any time from Settings. Cancellation takes effect at the end of the current billing period — we do not provide pro-rata refunds.
  • We reserve the right to change subscription pricing with 30 days' notice. Existing subscriptions are honoured at their current rate until renewal.

6. Intellectual Property

Your data is yours. Product information, images, business data, and any content you upload remain your property. You grant HappyNoL a limited licence to process this data solely to provide the service.

The App itself — including its code, design, AI models, brand, and all platform features — is the exclusive property of HappyNoL Private Limited. You may not copy, distribute, or create derivative works without our written consent.

7. Limitation of Liability

The App is provided “as is” without any warranty, express or implied. HappyNoL is not liable for:

  • Any indirect, incidental, or consequential loss arising from your use of the App.
  • Marketplace policy changes, account suspensions by third-party marketplaces, or listing rejections.
  • Loss of sales, revenue, or business opportunity.
  • Service interruptions due to maintenance, infrastructure issues, or events outside our control.

Our total liability to you for any claim shall not exceed the amount you paid to HappyNoL in the three months preceding the claim.

8. Governing Law & Disputes

These Terms are governed by the laws of Karnataka, India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.

We encourage you to contact us first — most issues can be resolved quickly by our support team.
